Terms and conditions

1. Scope

These general terms and conditions (“terms”) apply to all training sessions, workshops, concept work, support and other services provided by collabatwork, and to the training material. Deviations apply only where agreed in writing. A client’s own general terms and conditions apply only where collabatwork has agreed to them in writing. If any provision of these terms is wholly or partly invalid, the validity of the remaining provisions is unaffected; the invalid provision is replaced by one that comes closest to its economic purpose.

2. Formation of the contract

After the first conversation the client receives a written quote covering content, scope and price. The contract comes into effect once the quote is confirmed in writing or by email. Verbal agreements are subsequently recorded in writing. Confirming the quote constitutes acceptance of these terms.

3. Services

collabatwork provides knowledge transfer and concept work: training sessions, workshops, structural concepts, telephony concepts and support during introductions. As a preliminary step, an assessment with a short written report may be agreed.

Setup, maintenance, security and operation of the IT environment, as well as the procurement of licences, are not part of the contract. On request, this work is carried out by partner companies and is agreed and invoiced separately.

4. The client’s contribution

The client ensures that the environment required for the training is operational: valid licences, configured user accounts, access to the necessary areas, and for on-site training a suitable room with a screen or projector and internet access.

No later than five working days before the training the client states the number of participants and any particular topics to be covered. Delays or additional work arising from a lack of cooperation are at the client’s expense.

The client grants collabatwork only the access rights required for the training and anonymises confidential or personal data as far as possible. Passwords are not to be shared.

collabatwork accesses the client’s systems solely through the client’s own environment. Only documents such as presentations, concepts and training material are handed over. These are checked for malware by usual means before being handed over; the client carries out its own check before use.

5. Prices, travel time and expenses

The prices of the confirmed quote apply. All amounts are in Swiss francs. Where collabatwork is liable for VAT, VAT is shown in addition.

Travel time and travel expenses are stated in the quote. Unless agreed otherwise, travel outside the canton of Bern is charged according to time spent.

6. Payment terms

Invoices are payable within 30 days of the invoice date without deduction. For assignments spanning several dates, invoicing may take place in instalments. Once the payment deadline has passed, the client is in default without further reminder.

7. Postponement and cancellation

Agreed dates are binding. Where the client postpones or cancels, the following applies:

more than 14 calendar days before the date: free of charge;
14 to 8 calendar days before the date: 50 per cent of the agreed fee;
7 calendar days or fewer before the date, and in the event of non-attendance: 100 per cent of the agreed fee.

Travel and preparation costs already incurred are charged in every case. A single postponement to a replacement date within three months is free of charge up to 8 calendar days before the date.

8. Number of participants

Training sessions are designed for the group size stated in the quote. If fewer people attend than agreed, the fee remains unchanged. If more people are to attend, this must be agreed in advance; collabatwork may propose an additional session.

9. Training material and copyright

All material, concepts and templates remain the intellectual property of collabatwork. The client may use and reproduce them without restriction within its own company. Documents created together with the client in the course of the assignment remain with the client.

Passing them on to third parties, publishing them, or using them for the client’s own commercial training offering is not permitted without written consent.

10. Confidentiality

collabatwork treats all information obtained in the course of the assignment as confidential and does not pass it on to third parties. This obligation continues beyond the end of the assignment. The client likewise treats fees and quotes as confidential.

11. Data protection and processing of client data

In the course of training and concept work, collabatwork gains insight into the client’s working environments and therefore possibly into personal data. Such data is processed solely to fulfil the assignment, is not copied, not exported, and not used further once the assignment is complete.

Where parts of an assignment are carried out together with a partner company, collabatwork gives prior notice and passes on only the information necessary for that purpose. Processing takes place in Switzerland. For quotes, time tracking and invoicing I use business software from a Swiss provider whose servers are located in Switzerland.

The privacy statement applies in addition to visits to the website.

12. Liability

collabatwork is liable for damage caused by intent or gross negligence. Liability for slight negligence, and for indirect loss, consequential loss, lost profit, data loss and business interruption, is excluded to the extent permitted by law.

As collabatwork carries out no technical work on the IT environment, no liability is accepted for the setup, configuration, security, availability or backup of that environment. The client implements recommendations from training and concepts on its own responsibility.

Where liability is not excluded, and irrespective of its legal basis, collabatwork’s liability is limited to the amount of the fee owed for the service concerned.

13. Unavailability

If collabatwork is unable to attend due to illness, accident or other reasons beyond its control, the client is informed without delay and a replacement date is agreed. No further claims arise in such a case.

14. Amendments

collabatwork may amend these terms. For an assignment already confirmed, the version in force at the time of confirmation applies.

15. Applicable law and place of jurisdiction

Swiss law applies exclusively. The place of jurisdiction is Bern.
